These Terms & Conditions ("Terms") govern your access to and use of Seatvia's online booking software and website (the "Service"). The Service is provided by Seatvia ("Seatvia", "we", "us", "our"), operated as a sole proprietorship based in Ontario, Canada. By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Accounts & eligibility

To use most features you must create an account and be at least the age of majority in your province and able to enter into a binding contract. You agree to provide accurate, current information and to keep it up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your account, including activity by your staff. Notify us promptly of any unauthorized use.

2. The Service

Seatvia provides software that lets businesses accept bookings, reservations and appointments through a booking page that can be shared as a link or embedded on the business's own website and profiles. We may add, change or remove features over time. The Service is a software tool only; we are not a party to any reservation, transaction or relationship between a business and its guests.

3. Free trial

New accounts may start with a 14-day free trial that does not require a credit card. During the trial you have access to the Service. We may send reminder messages as the trial period approaches its end. If you do not subscribe before the trial ends, your booking page may be deactivated until you subscribe. We may modify or discontinue trials at any time.

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period, and you will retain access until then. Except where required by law, fees already paid are non-refundable, and we do not provide refunds or credits for partial billing periods or unused time.

You agree to use guest information only to provide your services and in compliance with applicable privacy law, and not to sell it or use it for unlawful or unsolicited communications.

The Service, including its software, design, branding, the "Seatvia" name and logo, and all related intellectual property, is owned by Seatvia and protected by law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service during your subscription, for your own business. You retain ownership of the content and information you provide, and you grant us the licence needed to host and process it to operate the Service.

The Service relies on third-party providers (for example Stripe for payments, and our hosting and email providers). Your use of those services may be subject to their own terms, and we are not responsible for third-party services we do not control.

11. Availability & "as is"

We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation, and we may perform maintenance or experience downtime. The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, to the fullest extent permitted by law.

You agree to indemnify and hold harmless Seatvia and its operator from and against any claims, damages, losses and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your bookings and guests, your content, your violation of these Terms, or your violation of any law or the rights of any third party.

You may stop using the Service and cancel at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that may cause harm or legal liability, or as otherwise reasonably necessary. On termination, your right to use the Service ends; sections that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnity and governing law) will survive.

15. Changes to these Terms

We may update these Terms from time to time. We will revise the "Last updated" date and, for material changes, provide reasonable notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Governing law & disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. You agree that the courts located in Ontario, Canada will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you submit to the personal jurisdiction of those courts.

17. General

These Terms, together with our Privacy Policy, are the entire agreement between you and Seatvia regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
